MEMBERS´ MEETING REQUIRED TO APPROVE ANNUAL ACCOUNTS

Brazilian Law demands that members of companies or corporations gather for a meeting in which the company’s and corporation’s annual accounts, financial statements and economical results are presented by their administrators, and then discussed amongst such members. This meeting must happen once a year, in four months counted from the end of the last fiscal year, which usually coincides with the civil year. The lack of such meeting may cause minor members to question the annual accounts, reason why it is utterly important to formalize the discussion and register the minutes of such meeting at the Commercial Registry.
